Special Election Called for Director Positions

The Board of Directors has called for a special election to replace the open Director seats.

The two seats have become open due to the resignation of Dr. Chris Warford and Dr. Mark Wright.

Dr. Chris Warford has sold his two practices to AEG Vision, and Dr. Mark Wright has resigned over personal issues related to his private practices in Ohio.

On behalf of the Board of Directors, we thank Dr. Warford and Dr. Wright for their contributions as Directors on the Board, and their years of service are greatly appreciated.

As per the TSO, Inc. By-Laws, a special election has been called to fill the remainder of their terms since both seats are vacant more than six months before the next election.

Dr. Warford’s term ends as of June 30, 2024, so the Shareholder Director will fill the vacancy until an election is held for the position at the annual Shareholder Meeting.

Dr. Mark Wright was re-elected to a three-year term at this past Shareholder Meeting, so the new Outside Director will fill the position until it expires on June 2026.

The Board of Directors has asked the Board’s Nomination Committee, working with Outside Directors Ed Buffington and David Friedfeld, to review prospective candidates to fill the remainder of Dr. Wright’s term.

An open Call for Nominations of Shareholder Director candidates was announced to all Shareholder owners last month and will close on September 20, 2023.

A virtual, special Shareholder Meeting will be held on November 2, 2023, at 12:00 PM via ZOOM, with the sole agenda item being the election of two candidates to fill the open seats. Shareholder owners can log in to participate in the meeting and cast their ballot, or a Proxy Ballot will be sent out four weeks before the virtual Shareholder Meeting.
